1.2 We are a limited company.
1.3 We have not been and are not paid by (nor receive any other kind of benefit from) any person for making any comments or amending any scores on our site..
1.4 The opinions and scores on our site or off our website through our ‘Score’ button which accesses our website’s API, represent the views and opinions of the users of our site and API, and are not those of Bugscore Limited.

2. ACCESSING OUR SITE AND API

2.1 In these terms, where we refer to:
  • an individual, we mean a natural person who is acting for purposes which are outside of their business;
  • a business, we mean someone (whether a sole trader, limited company or otherwise) who is acting for purposes related to their business; and
  • ‘you’ and you are a business, we mean the business itself and anyone acting on its behalf (or who is otherwise an agent of the business) and the business shall be responsible for actions of such persons under these terms (whether or not they were acting on the instructions of the business).
2.2 Access to our site and API is permitted on a temporary basis and we reserve the right to withdraw or amend the service we provide on our site and API without notice (see below). We will not be liable if for any reason our site and API are unavailable at any time or for any period.
2.3 From time to time, we may restrict access to some parts of our site and API, or our entire site and API, to users who have registered with us.
2.4 If you are:
  • an individual and you choose, or you are provided with, a user identification code, password or any other piece of information as part of our security procedures, you must treat such information as confidential and you must not disclose it to any third party. We have the right to disable any user identification code or password (whether chosen by you or allocated by us) at any time if (at our absolute discretion) we believe that you have failed to comply with any of the provisions of these terms of use; or
  • a business and you choose, or you are provided with, a user identification code, password or any other piece of information as part of our security procedures, you must treat such information as confidential and you must not disclose it to any third party, although you may disclose such information to your employees and/or contractors provided that they are legally bound to keep such information confidential. We have the right to disable any user identification code or password (whether chosen by you or allocated by us) at any time if (at our absolute discretion) we believe that you have failed to comply with any of the provisions of these terms of use.
2.5 When using our site and API, you must comply with the provisions of our acceptable use policy.
2.6 You are responsible for making all arrangements necessary for you to have access to our site and API. You are also responsible for ensuring that all persons who access our site and API through your internet connection are aware of these terms and that they comply with them.

3. INTELLECTUAL PROPERTY RIGHTS

3.1 We are the owner or the licensee of all intellectual property rights in our site and API and in the material published on it. In particular, we are referring to the look and feel of our site and API (including all page headers, graphics, button icons and scripts). These works are protected by copyright laws and treaties around the world. All such rights are reserved.
3.2 You may print off one copy, and may download extracts, of any page(s) from our site and API for your personal reference only unless the extracts contain information in whole or in part relating to the Personal Score Card. The Personal Score Card may be downloaded and distributed as many times as necessary but any off-line or on-line distribution of the Personal Score Card (whether by using Bugscore's sharing functions or printing the Personal Score Card and then distributing it off-line or online via pdf) must be done in such a way that the 'Bugscore' logo is visible at the top-left of the Personal Score Card at all times.
3.3 You must not modify the paper or digital copies of any materials you have printed off or downloaded in any way and you must not use any illustrations, photographs, video or audio sequences or any graphics separately from any accompanying text.
3.4 Our status (and that of any identified contributors) as the authors of material on our site and API must always be acknowledged.
3.5 You must not use any part of the materials on our site and API or the look and feel of our site and API (including all page headers, graphics, button icons and scripts) for commercial purposes without obtaining a licence to do so from us or our licensors.
3.6 If you print off, copy or download any part of our site and API in breach of these terms of use, your right to use our site and API will cease immediately and you must, at our option, return or destroy any copies of the materials you have made.

4. RELIANCE ON INFORMATION POSTED

Commentary and other materials posted on our site or off our website through our 'Score' button which accesses our website's API are not intended to amount to advice on which reliance should be placed. To the extent permitted by applicable law, we therefore disclaim all liability and responsibility arising from any reliance placed on such materials by any visitor to our site or API or by anyone who may be informed of any of its contents.

5. OUR SITE AND API CHANGE REGULARLY

We aim to update our site and API regularly and may change the content at any time. If the need arises, we may suspend access to our site and API or close it indefinitely. Any of the material on our site and API may be out of date at any given time and we are under no obligation to update such material.

6. OUR LIABILITY

6.1 The material displayed on our site or off our website through our 'Score' button which accesses our website's API is provided without any guarantees, conditions or warranties as to its accuracy.
6.2 If you are:
  • an individual, except as stated in 6.3, our entire liability (and that of other members of our group of companies and third parties connected to us) to you (howsoever occurring) shall be limited to £400. You confirm that you consider this limitation wholly fair and reasonable, especially in light of the fact that you are not paying us for access to our site and API;
  • a business:
    • to the extent permitted by applicable law, we, other members of our group of companies and third parties connected to us hereby expressly exclude:
      • all conditions, warranties and other terms which might otherwise be implied by statute, common law or the law of equity;
      • any liability for any direct, indirect or consequential loss or damage incurred by any user in connection with our site and API or in connection with the use, inability to use, or results of the use of our site and API, any websites linked to it and any materials posted on it, including, without limitation, any liability for:
        • any loss or damage resulting from mistakes, defamation, slander, libel, omissions, falsehoods, obscenity, pornography or profanity on our site and API;
        • loss of income or revenue;
        • loss of business;
        • loss of profits or contracts;
        • loss of anticipated savings;
        • loss of data;
        • loss of goodwill;
        • wasted management or office time; and
        • for any other loss or damage of any kind, however arising and whether caused by tort (including negligence), breach of contract or otherwise, even if foreseeable,
        • provided that this condition shall not prevent claims for loss of or damage to your tangible property or any other claims for direct financial loss that are not excluded by any of the categories set out above;

    • except as stated in 6.3 and subject to 6.2(b)(i)(B), our entire liability (and that of other members of our group of companies and third parties connected to us) to you (howsoever occurring) shall be limited to £100. You confirm that you consider this limitation wholly fair and reasonable, especially in light of the fact that you are not paying us for access to our site and API.
6.3 This does not affect our liability for:
  • death or personal injury arising from our negligence;
  • our liability for fraud, fraudulent misrepresentation or misrepresentation as to a fundamental matter; or
  • any other liability which may not be excluded or limited under applicable law.

7. INFORMATION ABOUT YOU AND YOUR VISITS TO OUR SITE AND API

We process information about you in accordance with our privacy policy. By using our site and API, you consent to such processing and you warrant that all data provided by you is accurate.

8. UPLOADING MATERIAL TO OUR SITE AND API

8.1 Whenever you make use of a feature that allows you to upload material to our site and API, or to make contact with other users of our site and API, you must comply with the content standards set out in our acceptable use policy. You warrant that any such contribution does comply with those standards and:
  • if you are an individual, you contractually promise to pay for any damage or loss we, other members of our group of companies and third parties connected to us may suffer as a result of your breach of that warranty;
  • if you are a business, you indemnify us, other members of our group of companies and third parties connected to us, against all liabilities, costs, expenses, damages and losses suffered or incurred by us and arising out of, or in connection with, any breach of that warranty or any other breach of these terms of use or any actual or threatened claim against us by any third party (based on any actual or alleged act/omission by you).
8.2 While users may score ‘anonymously’ on our site and API, when scoring, this is not truly anonymous and, although the ‘scoree’ cannot see your identity, we can match the user to the score that they added to our site directly or through our API.
8.3 Any material you upload to our site and API will be considered non-confidential and non-proprietary and we have the right to use, copy, distribute and disclose to third parties any such material for any purpose. We also have the right to disclose your identity in accordance with our privacy policy.
8.4 We will not be responsible, or liable to any third party, for the content or accuracy of any materials posted by you or any other user of our site and API.
8.5 Where a non-public person (and who is or who is not a ‘public person’ shall be at our absolute discretion) has a profile created for them by someone else, it will only be publicly visible on our site or off our website through our ‘Score’ button which accesses our website’s API once the person in question has approved it. Generally, a public person’s profile will be visible when it is added.
8.6 We have the right to remove any material or posting you make on our site or off our website through our ‘Score’ button which accesses our website’s API if (at our absolute discretion) we believe such material does not comply with the content standards set out in our acceptable use policy.

9. VIRUSES, HACKING AND OTHER OFFENCES

9.1 You must not misuse our site by knowingly introducing viruses, trojans, worms, logic bombs or other material which is malicious or technologically harmful. You must not attempt to gain unauthorised access to our site, API, the server on which our site is stored or any server, computer or database connected to our site or API. You must not attack our site via a denial-of-service attack or a distributed denial-of service attack.
9.2 By breaching this provision, you would commit a criminal offence under the Computer Misuse Act 1990. We will report any such breach to the relevant law enforcement authorities and we will co-operate with those authorities by disclosing your identity to them. In the event of such a breach, your right to use our site and API will cease immediately.
9.3 We will not be liable for any loss or damage caused by a distributed denial-of-service attack, viruses or other technologically harmful material that may infect your computer equipment, computer programs, data or other proprietary material due to your use of our site and API or to your downloading of any material posted on it or on any website linked to them.

10. LINKING TO OUR SITE AND API

10.1 You may link to our home page (i.e. www.bugscore.com), provided you do so in a way that is fair and legal and does not damage our reputation or take advantage of it, but you must not establish a link in such a way as to suggest any form of association, approval or endorsement on our part where none exists.
10.2 You must not establish a link from any website that is not owned by you.
10.3 Our site must not be framed on any other site, nor may you create a link to any part of our site other than the home page. We reserve the right to withdraw linking permission without notice. The website from which you are linking must comply in all respects with the content standards set out in our acceptable use policy.

11. LINKS FROM OUR SITE

Where our site and API contains links to other sites and resources provided by third parties, these links are provided for your information only. We have no control over the contents of those sites or resources and accept no responsibility for them or for any loss or damage that may arise from your use of them.

12. JURISDICTION AND APPLICABLE LAW

12.1 If you are:
  • an individual, the English courts will have non-exclusive jurisdiction over any claim arising from, or related to, a visit to our site or API although we retain the right to bring proceedings against you for breach of these conditions in your country of residence or any other relevant country;
  • a business, you irrevocably agree, for our sole benefit, that (subject as provided below) the courts of England and Wales shall have exclusive jurisdiction over any dispute or claim arising out of or in connection with these terms of use, our site and API, their subject matter or formation (including non-contractual claims). Nothing in this 12.1(b) shall limit our right to take proceedings against you in any other court of competent jurisdiction, nor shall the taking of proceedings in any one or more jurisdictions preclude the taking of proceedings in any other jurisdictions, whether concurrently or not, to the extent permitted by the law of such other jurisdiction.
12.2 These terms of use and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the law of England and Wales.

13. THIRD PARTIES

Other members of our group of companies and third parties connected to us may rely on, and enforce, 6.2 and 8.1.

14. TRADE MARKS

14.1 'BUGSCORE', and 'SCORE YOUR WORLD' are all registered Community trade marks (no. 010658581, no. 011196847 and no. 011293743 respectively) of Neuchâtel Limited. All trade marks are used under licence.

15. VARIATIONS

We may revise these terms of use at any time by amending this page. You are expected to check this page from time to time to take notice of any changes we made, as they are binding on you (and, by using our site and API before or after any changes, you indicate your agreement to be bound by them). Some of the provisions contained in these terms of use may also be superseded by provisions or notices published elsewhere on our site.

Acceptable Use Policy

This acceptable use policy sets out the terms between you and us under which you may access our website www.bugscore.com. (our site) and our API. This acceptable use policy applies to all users of, and visitors to, our site and API.

Your use of our site and API means that you accept, and agree to abide by, all the policies in this acceptable use policy, which supplement our terms of website use.

1. INFORMATION ABOUT US

1.2 We are a limited company.

2. PROHIBITED USES

2.1 You may use our site and API only for lawful purposes. You may not use our site and API:
  • in any way that:
    • breaches any applicable local, national or international law or regulation;
    • is unlawful or fraudulent, or has any unlawful or fraudulent purpose or effect (including, without limitation, impersonating any individual/business);
  • for the purpose of harming or attempting to harm minors in any way;
  • to send, knowingly receive, upload, download, use or re-use any material which does not comply with our content standards set out below;
  • to transmit, or procure the sending of, any unsolicited or unauthorised advertising or promotional material or any other form of similar solicitation (spam);
  • to knowingly transmit any data, send or upload any material that contains viruses, Trojan horses, worms, time-bombs, keystroke loggers, spyware, adware or any other harmful programs or similar computer code designed to adversely affect the operation of any computer software or hardware.
2.2 You also agree:
  • not to reproduce, duplicate, copy or re-sell any part of our site and API in contravention of the provisions of our terms of website use;
  • not to impersonate any person, or to misrepresent your identity or affiliation with any person;
  • not to access without authority, interfere with, damage or disrupt:
    • any part of our site and API;
    • any equipment or network on which our site and API is stored;
    • any software used in the provision of our site and API; or
    • any equipment or network or software owned or used by any third party.

3. INTERACTIVE SERVICES

3.1 We provide interactive services on our site and API, including (without limitation) the ability to:
  • create ‘profiles’ (including your own) for individuals, businesses and products;
  • comment on those profiles and score their associated individuals, business and products;(interactive services).
  • sell your and download other people's Personal Score Cards.
  • create a customised 'Score' button which can be added to 3rd party websites to score and opine on digital content.
3.2 We will provide clear information to you about the kind of interactive services offered, whether they are moderated and what form of moderation is used (including whether it is human or technical).
3.3 We will do our best to assess any possible risks for users (and in particular, for children) from third parties when they use any interactive service provided on our site or off our website through our 'Score' button which accesses our website's API and we will decide in each case whether it is appropriate to use moderation of the relevant service (including what kind of moderation to use) in the light of those risks. However, we are under no obligation to oversee, monitor or moderate any interactive service we provide on our site or off our website through our 'Score' button which accesses our website's API and we expressly exclude our liability for any loss or damage arising from the use of any interactive service by a user in contravention of our content standards (whether the service is moderated or not).
3.4 The use of any of our interactive services by a minor is subject to the consent of their parent or guardian. We advise parents who permit their children to use an interactive service that it is important that they communicate with their children about their safety online, as moderation is not fool-proof. Minors who are using any interactive service should be made aware of the potential risks to them.
3.5 Where we do moderate an interactive service, we will normally provide you with a means of contacting the moderator should a concern or difficulty arise.

4. CONTENT STANDARDS

4.1 These content standards apply to any and all material which you contribute to our site and API (contributions), and to any interactive services associated with it.
4.2 You must comply with the spirit of the following standards as well as the letter. The standards apply to each part of any contribution as well as to its whole.
4.3 Contributions must:
  • be accurate (where they state facts);
  • be genuinely held (where they state opinions);
  • comply with applicable law:
    • in the UK;
    • in any country from which they are posted; and
    • in any country in which you are habitually domiciled.
4.4 Contributions must not:
  • contain any material which:
    • is defamatory of any person;
    • is obscene, offensive, hateful or inflammatory;
    • will, or might, bring us into disrepute;
  • promote:
    • sexually explicit material;
    • violence;
    • discrimination based on race, sex, religion, nationality, disability, sexual orientation or age;
    • any illegal activity;
  • infringe any copyright, database right or trade mark of any other person;
  • be made in breach of any legal duty owed to a third party, such as a contractual duty or a duty of confidence;
  • be threatening, abuse or invade another's privacy, or cause annoyance, inconvenience or needless anxiety;
  • be likely to:
    • be perceived as threatening abusive or otherwise objectionable;
    • deceive any person;
  • be used to impersonate any person, or to misrepresent your identity or affiliation with any person;
  • give the impression that they emanate from us, if this is not the case;
  • advocate, promote or assist any unlawful act such as (by way of example only) copyright infringement or computer misuse.

5. SUSPENSION AND TERMINATION

5.1 We will determine, in our absolute discretion, whether there has been a breach of this acceptable use policy through your use of our site and API. When a breach of this policy has occurred, we may take such action as we deem appropriate.
5.2 Failure to comply with this acceptable use policy constitutes a material breach of the terms of use upon which you are permitted to use our site and API and may result in our taking all or any of the following actions:
  • immediate, temporary or permanent withdrawal of your right to use our site and API;
  • immediate, temporary or permanent removal of any posting or material uploaded by you to our site and API;
  • issue of a warning to you;
  • legal proceedings against you for reimbursement of all costs on an indemnity basis (including, but not limited to, reasonable administrative and legal costs) resulting from the breach;
  • further legal action against you;

This policy (together with our terms of use and any other documents referred to on it) sets out the basis on which any personal data we collect from you, or that you provide to us, will be processed by us. Please read the following carefully to understand our views and practices regarding your personal data and how we will treat it.

For the purpose of the Data Protection Act 1998 (the Act), the data controller is Bugscore Limited of 102 Peninsula Apartments, Praed Street, London, W2 1JE.

1. INFORMATION WE MAY COLLECT FROM YOU

1.1 We may collect and process the following data about you:
  • information that you provide by filling in forms on our site (our site) or by scoring using our ‘Score’ button on 3rd party websites. This includes information provided at the time of registering to use our site and API, posting material or requesting further services. We may also ask you for information when you:
    • enter a competition or promotion sponsored by us;
    • report a problem with our site and API;
  • if you contact us, we may keep a record of that correspondence;
  • we may also ask you to complete surveys that we use for research purposes, although you do not have to respond to them;
  • details of your visits to our site or your use of our API(including, but not limited to, traffic data, location data and other communication data, whether this is required for our own purposes or otherwise) and the resources that you access;
1.2 You should bear in mind that while you may ‘score’ ‘anonymously’ on our site or API, this is not truly anonymous and, although the ‘scoree’ cannot see your identity, we can match you to the score that you added to our site, either directly or through access to our API.

2. IP ADDRESSES

We may collect information about your computer, including (where available) your IP address, operating system and browser type, for system administration and to report aggregate information to our advertisers. This is statistical data about our users’ browsing actions and patterns and does not identify any individual.

3. COOKIES

3.1 For the same reason, we may obtain information about your general Internet usage by using a cookie file which is stored on your browser or the hard drive of your computer. Cookies contain information that is transferred to your computer's hard drive. They help us to improve our site and our API and to deliver a better and more personalised service. Some of the cookies we use are essential for the site to operate.
3.2 If you register with us or if you continue to use our site and API, you agree to our use of cookies. The cookies that we will or may store on your browser/computer as set out below.

4. WHERE WE STORE YOUR PERSONAL DATA

Where we have given you (or where you have chosen) a password which enables you to access certain parts of our site and API, you are responsible for keeping this password confidential. As set out in our terms of use, we ask you not to share a password with anyone.
4.3 Unfortunately, the transmission of information via the Internet is not completely secure. Although we will do our best to protect your personal data, we cannot guarantee the security of your data transmitted to our site directly or through our API; any transmission is at your own risk. Once we have received your information, we will use strict procedures and security features to try to prevent unauthorised access.

5. USES MADE OF THE INFORMATION

5.1 We use information held about you in the following ways:
  • to ensure that content from our site and API is presented in the most effective manner for you and for your computer;

  • to carry out our obligations arising from any contracts entered into between you and us;

5.5 We do not disclose information about identifiable individuals to our advertisers but we may provide them with aggregate information about our users (for example, we may inform them that 500 men aged under 30 have clicked on their advertisement on any given day). We may also use such aggregate information to help advertisers reach the kind of audience they want to target (for example, women in Central London). We may make use of the personal data we have collected from you to enable us to comply with our advertisers’ wishes by displaying their advertisement to that target audience.

6. DISCLOSURE OF YOUR INFORMATION

6.1 We may disclose your personal information to any member of our group, which means our subsidiaries, our ultimate holding company and its subsidiaries, as defined in section 1159 of the UK Companies Act 2006.
6.2 We may disclose your personal information to third parties:
  • in the event that we sell or buy any business or assets, in which case we may disclose your personal data to the prospective seller or buyer of such business or assets;
  • if Bugscore Limited or substantially all of its assets are acquired by a third party, in which case personal data held by it about its customers will be one of the transferred assets;
  • (c) if we are under a duty to disclose or share your personal data in order to comply with any legal obligation, or in order to enforce or apply our terms of use or to protect the rights, property, or safety of Bugscore Limited or any others.

7. YOUR RIGHTS

7.1 You have the right to ask us not to process your personal data for marketing purposes (e.g. e-mail marketing). We will usually inform you (before collecting your data) if we intend to use your data for such purposes.
